Welcome to Drylogics! These Terms of Service (“Terms”) govern your access to and use of our software solutions, services, platforms, and tools (collectively, the “Software”). By accessing or using our Software, you agree to be bound by these Terms. If you do not agree, please refrain from using our services.

ACCEPTANCE OF TERMS

By using the Software, you:

• Confirm that you are at least 18 years old or have the legal capacity to enter into a binding contract.
• Agree to comply with these Terms and all applicable local, state, and international laws and regulations.

2. LICENSE TO USE THE SOFTWARE

• Drylogics grants you a non-exclusive, non-transferable, revocable license to access and use the Software, subject to the terms of your subscription or project agreement.
• The license is intended for team or enterprise use as specified in your contract, with limitations on user access, deployment, and functionality based on the selected plan.

RESTRICTIONS

You agree not to:

• Reverse engineer, decompile, or disassemble any component of the Software.
• Modify, copy, or distribute the Software in any unauthorized manner.
• Use the Software for unlawful or prohibited purposes.
• Transfer, lease, sublicense, or resell the Software without prior written consent from Drylogics.

OWNERSHIP AND INTELLECTUAL PROPERTY

• All intellectual property rights in the Software, including its UI/UX design, architecture, code, algorithms (including AI models), and documentation, are owned by Drylogics.
• All Customer Data input or uploaded into the Software remains the sole property of the User.
• Any open-source components included in the Software are governed by their respective licenses and do not transfer ownership or rights to the User.

SUBSCRIPTION AND FEES

• Access to the Software is provided through a subscription plan, custom project agreement, or AMC (Annual Maintenance Contract).
• Ongoing support, updates, or managed services may be contingent upon timely fee payments.
• Drylogics reserves the right to suspend or terminate access in cases of non-payment or contract breach.

SUPPORT AND UPDATES

• Technical support, patches, and feature updates are offered as per the terms of your AMC or support plan.
• Drylogics reserves the right to add, modify, or discontinue any feature, provided reasonable notice is given where possible.

TERMINATION

Drylogics may suspend or terminate your access to the Software:

• If you breach these Terms or fail to meet payment obligations.
• If the service agreement concludes or is voluntarily terminated. Upon termination, you must immediately discontinue use and destroy any locally stored instances, configurations, or documentation provided.

LIMITATION OF LIABILITY

To the fullest extent permitted by law, Drylogics shall not be liable for any indirect, incidental, special, or consequential damages, including but not limited to loss of business, profits, data, or functionality.

Our total liability shall not exceed the fees paid by you in the 12-month period preceding the event that gave rise to the claim.

DISCLAIMER OF WARRANTIES

The Software is provided on an “as-is” and “as-available” basis. Drylogics makes no warranties, express or implied, including but
not limited to:

• Merchantability

• Fitness for a particular purpose
• Accuracy, reliability, or uninterrupted access to the Software

GOVERNING LAW AND DISPUTE RESOLUTION

These Terms shall be governed by the laws of India.

Any disputes will be resolved through arbitration in accordance with the Indian Arbitration and Conciliation Act, 1996, with the venue for arbitration in Coimbatore, Tamil Nadu.

PRIVACY POLICY

Your use of the Software is also subject to our Privacy Policy, which outlines how we collect, store, and process your data. This is incorporated by reference into these Terms.

CHANGES TO TERMS

Drylogics may update these Terms at any time. We will notify you of material changes, but your continued use of the Software indicates acceptance of the updated Terms.
